Guest Speaker panel for Feb 24, 2004

Topic of discussion:
This guest panel of all star businessmen will discuss issues they have seen in startups, including encouraging finding good accountants and lawyers and discussing the good and where to find them. The panels primarily focus will be on protecting your IP from the outset, poor organizations of organizational documents causing additional costs and concerns of angel/vc investors. Also, uses of PPM versus Term sheets and the East Coast versus West Coast differences, LLC vs. LLP vs. S corps vs. C corps. Current issues regarding granting of options, restricted stock etc. and common types of agreements.

Bob Anderson:
Bob Anderson practices primarily in the fields of federal income tax law, venture financings and mergers and acquisitions. He has spent over twenty?five years advising Nevada businesses on a variety of formation, operational and exit strategies. Viewed by many as a highly skilled negotiator in business transactions and as a specialist at structuring complex transactions, including the sale or purchase of large private companies, Bob has been recognized by the Best Lawyers in America in corporate and tax law for over thirteen years. He is an active member of a number of angel investment groups in Nevada.

Anderson received his BSBA in accounting and JD from the University of Florida. He also has a Master of Laws Degree in taxation and is a Certified Public Accountant. Bob has spoken at numerous conferences and seminars for business owners, lawyers and accountants for over twenty years. He has also taught at the graduate level on matters including corporate reorganizations and mergers, federal income tax law and a variety of other subjects relevant to the owners of medium and large private companies.

In addition to representing international and national companies, Bob advises a number of Nevada's large family businesses.

Bob is active in the firm's Business Transaction, Taxation and Estate Planning practice group, where he mentors young attorneys. He has been involved in a variety of community organizations, including the Boys & Girls Club of the Truckee Meadows.


Joe Milanowski,
President, has been with the company and its predecessor entities since 1993. A Las Vegas resident since 1988, Mr. Milanowski worked in the treasury services department at Southwest Gas, a leading utility in Southern Nevada, prior to joining the company. Mr. Milanowski is also the published author of several articles explaining his financial research on the gaming industry, and has been widely quoted as a Las Vegas gaming analyst. Through USA Capital, Mr. Milanowski has been involved in over $500 million in real estate transactions. He is primarily responsible for underwriting and servicing all loan activities. Mr. Milanowski received his B.A. in Economics from the University of Michigan and his M.B.A. in Finance from the University of Arizona. He earned the Chartered Financial Analyst designation in 1991.

Steve Singer
Mr. Singer has over 20 years of senior level financial and investment experience, both inside entrepreneurial entities as a CFO and administrator, and outside entities as an investment banker and as a financing source. Mr. Singer has extensive experience working with start-up, development stage, and middle market companies. He has provided management and investment banking expertise as a CFO, senior manager and Board Member in overseeing the development of several privately and publicly held companies in the distance education, wireless and streaming media arenas. In addition, he spent close to twenty years advising companies on venture capital, public offerings and mergers and acquisitions in the investment banking business. Currently, Mr. Singer is CFO and a shareholder of SmartConnect. Mr. Singer received a BBA and an MBA from the University of Wisconsin and is a Certified Public Accountant.
